Middle Legal Counsel

We are hiring a Legal Counsel for a prominent Venture Fund, who should manage and resolve all legal questions connected with the investment process and documents, communication with administrators, directors and auditors. We already have a Senior Legal Counsel and are looking for a Junior+/Middle candidate to assist with daily legal and compliance tasks. We give possibility to work with an international team.

Tasks:

• Provide precise and timely legal guidance to the investment team across various topics, particularly on transactional documents throughout the investment process, including initial funding rounds and subsequent investments.
• Collaborate with team in due diligence efforts for startup investments, ensuring thorough examination of all pertinent legal aspects.
• Conduct comprehensive research and assessment of various risk factors affecting legal decisions, identifying potential issues during due diligence and developing solution frameworks as needed.
• Engage in negotiations with the third parties for potential investment deals and manage the legal aspects of transactions and divestments, ensuring compliance and optimal outcomes.
• Offer comprehensive legal advice related to portfolio company exits, fund administration, regulatory compliance, and general legal and compliance matters impacting daily operations.
• Draft and review all legal documents including (but not limited to) Board Resolutions. Subscription Agreements, Investment memos etc.
• Manage regulatory reporting obligations for relevant jurisdictions, ensuring timely and accurate submission of all compliance-related reports and assisting with registrations as needed.

Requirements:

• 1-3 years of post-qualification legal experience, ideally with exposure to private equity, venture capital, or investment management sectors and familiarity with regulated environments.
• Fluent in English (C1)
• Exhibit strong communication skills, presenting opinions and ideas in a structured manner.
• Demonstrate robust analytical skills, capable of distilling and discerning crucial information from regulatory guidance, statutes, audit findings, and other documents to determine their impact on business operations.
